Terms of Service
By engaging the services of Bang Zoom Software LLC, you ("Client") agree to the following Terms of Service ("Terms").
1. Scope of Services
Bang Zoom Software LLC will provide software development and related technology services as detailed in a separate Statement of Work (SOW) or service agreement. This agreement will outline specific deliverables, timelines, and fees.
2. Payment Terms
Client agrees to pay all fees as specified in the SOW. Payments are typically due in advance of the service period or in accordance with agreed milestones. Any fees for third‑party services or infrastructure (such as cloud providers, SaaS tools, or licenses) are a separate cost and are the direct responsibility of the Client, unless otherwise agreed in writing.
3. Timelines and Deliverables
Bang Zoom Software LLC will use commercially reasonable efforts to meet project timelines. However, the Client acknowledges that timelines can be affected by factors outside our control, including Client feedback delays, dependency changes, and third‑party platform issues. All timelines provided are estimates.
4. Client Responsibilities
Client must provide timely access to necessary materials, personnel, and digital properties (e.g., code repositories, environments, APIs, and infrastructure accounts) required for Bang Zoom Software LLC to perform its services. The Client warrants that all materials provided do not infringe on any third‑party intellectual property rights.
5. Confidentiality
Both parties agree to hold each other's proprietary or confidential information in strict confidence. This includes business strategies, client lists, source code, system designs, and performance data.
6. Limitation of Liability
The liability of Bang Zoom Software LLC for any claim arising from our services is limited to the fees paid by the Client to Bang Zoom Software LLC in the preceding three months. We are not liable for any indirect or consequential damages, including lost profits, loss of data, or business interruption.
7. Termination
Either party may terminate the service agreement with a written notice period as defined in the SOW. Upon termination, the Client is responsible for payment for all services rendered up to the termination date, as well as any committed third‑party costs.
